I used google voice for a while and that is exactly what it does. When you put the app on your phone you have in the apps settings the choice to have it or your native voice mail to take your missed calls and if you choose to have google voice intercept your calls it will transcribe(somewhat accurately) to your gmail and that is also a setting that you can disable if you wish.
I loved it. I only quit using it because my freinds basically refused to use the new number i kept giving them.

helpowl wont let us post google urls so i had to break that up but thats it. its not hard to set up at all. just follow the directions
